It is particularly important to note that obtaining legal consultancy, that is, working with a lawyer, is essential for joint-stock companies. Indeed, in this context, the legislator, considering the requirements of the times, has mandated under Article 35/3 of Law No. 1136 on the Legal Profession that joint-stock companies with a capital of 250,000 TL or more must either employ a lawyer on their payroll or obtain continuous services from a lawyer under a contract.
In any investigation conducted by the Chief Public Prosecutor’s Office, the company must present the contract, the lawyer's freelance receipt, and payment receipts related to the invoices. Simply having a legal service contract with a lawyer is not sufficient.

What Happens If There Is No Mandatory Lawyer in the Company?

For the year 2021, it is a legal requirement for joint-stock companies with a capital of 250,000 TL or more to have a lawyer. 

Companies that do not comply with this legal requirement are sent a letter by the Bar Association in their province requesting them to present the contract. If the contract and supporting documents are not provided in response to this letter, the Bar Association will file a criminal complaint with the Chief Public Prosecutor's Office in that province against the company.

If a joint-stock company does not have a lawyer in violation of the Attorney's Law, an administrative fine equivalent to two months' gross minimum wage will be imposed.

For the year 2021, the monthly penalty for not having a lawyer is 3577.50 TL multiplied by 2, totaling 7155 TL per month.

If a joint-stock company does not have a contracted lawyer throughout the year, a total administrative fine of 85,860 TL will be imposed."

Are limited liability companies required to have a lawyer?

In Turkey, limited liability companies are not required to have a lawyer, regardless of their capital. However, the lack of a mandatory requirement does not prevent companies from having a lawyer. To avoid any legal losses and to prevent both financial and emotional setbacks, it is always advantageous to seek legal support from a lawyer.
